ADDENDUM
ADDENDUM to Contract OK-A94-11, dated November 28, 1979, between
TROPICANA PRODUCTS, INC., and GRACEWOOD FRUIT COMPANY, INC.
Where this ADDENDUM may be inconsistent with the printed portion of
the contract, the terms of the ADDENDUM shall prevail..
1. Notwithstanding the provisions of the contract, Tropicana Products,' .
Inc.'s participation price paid to Seller will be as computed in
the contract, but will not be less than:
A. eighty-five ($.85) cents per pound solids in the 1979-1980 season
upon delivery of that fruit to Tropicana's plant, less applicable
taxes and any other authorized deductions,
B. eighty 80) cents per pound solids in the 1979-1980 season for
TEMPLE oranges delivered, less applicable taxes and any other
authorized deductions, or
C. eighty (80x) percent of Tropicana Products, Inc.'s Daily Cash
Market Price, if greater than Paragraph A above (for Hamlin, Pine-
apple and Valencia oranges), or Paragraph B above (for Temple Oranges),
less applicable taxes and any other authorized deductions, upon
{ delivery of that fruit to Tropicana's plant.
2. Furthermore, the final settlement for the TEMPLE oranges will be calculated
the same as the early-midseason pool, less the discount of $.OS per pound
for the 1979-1980 season.
3. It is also understood. that the prices set forth above are guaranteed
prices for the year indicated. The actual price will be determined by
the formula provided in the contract if it exceeds the guaranteed price
provided for herein.
~ 4. It is also agreed upon by both parties that Tropicana Products, Inc.'s
HAUL rate will be $.25 per 901 weight box.
5. It is further understood by Tropicana Products, Inc., the Buyer, and
s Gracewood Fruit Company,~Inc., the Seller, that the Seller has the right'~~
to reserve up to 21,000 boxes of HAMLIN, PINEAPPLE and VALENCIA ORANGES,~a-+~-?~~~-
for the fresh fruit market.
