tificate is attached, after having been first duly signed by a
majority of the directors thereof and having been signed by a
majority of the directors of Chrysler Financial Corporation, s
corporation of the State of Michigan, was duly adopted pursuant
to Section 228 of Title 8 of the General Corporation Law of

Delaware, by the unanimous written consent of the stockholder
holding 1,144,062 shares of the common stock of the said Allied
Concord Financial Corporation, the same being all of the shares -
az issutd and outstanding, and that thereby the Merger Agreement was
