PERSONALLY APPEARED before me, the undersigned

authority, GEORGE K. NOGA, who being duly sworn, deposes and
says he is one of the partners of FT. PIERCE GROVES, a Florida
general partnership, and one of the partners of ST. LUCZE
GROVES, a Florida general partnership; that the other partners
are R. Gordon Williams, Richard Gibbons, Irving Goldstein,
Joel, Alper, Louis C.. Delisio, Bill Lucado, John C. Mayers, and
Richard Enholm; that GEORGE K. NOGA, the partner executing
the Purchase ,Money Notes and Mortgages from Ft. Pierce Groves,
a Florida general partnership and from St. Lucie Groves, a
Florida general partnership, to Vincent J. Donahue and Shirley M.
Donahue, his wife, each in the respective amounts of $30,000.00,
has the authority to do so and that the conveyances were made
for carrying on in the usual way the business of the said
partnerships.
