ARTICLES OF MERGER, dated as of December 31, 1979;T~~ ti

pursuant to Section 607.224 of the Florida General Corporati~~
Act, by and between SOpTHEAST MERGER COMPANY ("SMC"), a Florida
corporation, and FIRST BANCSHARES OF FLORIDA, INC. ("FBS"), a
Florida corporation.
SMC, FBS, Southeast Banking Corporation ("Southeast")
and' Gulfstream Banks, Inc.. have entered. into an Agreement. and
Plan of Merger and Reorganization, dated April 26, 1979, as

amended (the "Plan of Merger"), providing for the merger of SMC

j into FBS (the "Merger") and the issuance of shares of Southeast

$4.06 Cumulative Preferred Stock, no par value (the "Southeast
$4.06 Preferred Stock").
ARTICLE I
~ EFFECTIVE TIME OF THE MERGER
The Merger shall become .effective at 11:59 P.M. on the
