Jensen Beach, Florids. There are presently issued and outstand-
ing 500 shares of the 10,000 shares authorized. Husband and. Wife
agree that the aforesaid 250 shares represent the Wife's interest
in the business as a result of her contrtbution~in establishing _

and building the business: As a result of the Wife's special
equitp-in said. shares of stock the Husband agrees to endorse or
~ otherwise transfer the stock certificate .representing the afore-
said 250 shares of stock to the Wife u on execution hereof

The Husband also agrees and covenants not to compete or
operate directly or indirectly, or be employed uy or associated
in any way with any restaurant business for a period of two (2)
years from the date hereon within. fifteen (15) n?iles.of the present
location of the restaurant known~as "Big Al's" owned and operated- -
by said Grad, -Inc, and located-on.U. S. 1, Jensen Beach, Florida.
Further, Husband waives any .right to the name "Big. Al's" and agrees
to permit Grad,. Inc. to continue the exclusive use of the-name
"Big Al's" or ary other mark adopted for use in the restaurant
business within six (6)-months hereof._ Moreover,- Husband agrees
not to use any mark which so resembles "Big Al's" ox other marks

adopted in accord with the provisions hereof as to be likely to -
~_cause confusion, or to cause mistake, or to deceive. -
However, nothing to-the ccintrary contained herein with-
standing, the Wife recognizes that the Husband intends to establish `
a hot dog stand or similar concession on the beaches of Martin Y
County, Florida and hereby. expressly agrees that he shall have the
right to do so under this Agreement, and such activity shall not

~ be deemed to constitute a breach of the terms of this Agreement.

- Husband and Wife understand that the Wife intends to

pursue a course of activity designed to develop an operation
~ whereby she imay offer to-the public the opportunity to purchase

~ a franchise or~other type license to engage in activities similar
to those presently used by Grad,. Zrc. in_the operation of-"Big -
