dissolution of Composite, Inc., a Florida Corporation. .
C. Additional Contributions.- No Limited Partner -
has agreed to contribute as capital any additional cash or
other property. ~ -
- ARTICLE V•II - DUTIES AND RIGHTS OF PARTNERS -

A. General Partner: Time to be Devoted to Business.
• The General Partner shall-devote to the-business of the . -

partnership all time as may be necessary to operate and run - -
the affairs of the partnership business, without regard -
. - - ~ ,
to a specific number of hours during any given period of time.
- - B. General Partner: Conflicting Business Activities.
The General Par-tner during. the-continuance of the Partnership

- shall not pursue, or-become directly or indirectly interested - -
in, any business or-occupation which is in conflict with
either the business. of the Partnership or- with the-duties -
- and responsibilities of the-General-Partner to the Partnership. -
C. General Partner: Salary. The General Partner,
for his time devoted to-the business of the Partnership, -
shall not receive a salary; but-shall be entitled to be -
reimbursed for any out .of pocket expenses.
- D. Limited-Partners. Participation and Conduct
_ of Business. No Limited'Partner shall have any-right to -
_
be active in'the conduct of the partnership's business - -
or have power to bind the partnership in any contract, agreement,
promise or undertaking. -
ARTICLE VIII - PROFIT AND
LOSS SHARING BY LIMITED PARTNERS -
~A. Net Profits: Each limited partner shall receive
as her share of the r?et profits of-the partnership the following:

. Cynthia Schulman Schweiger - '25% of such net profits - .
Helene Schweiger - 50%.of such net profits
' B. Losses- - Share: Each limited partner shall
bear a share of the losses of the par~nership equal *_o the
share of the net profits to which that limited partner
is entitled. The share of 'the tosses of each limited
partner shall be.,charged against her contribution to the _
- capital of the partnership. - -
