a niece of mine, and ANN RAE PAPP, a niece of mine, to be Executors
of this my Will. In the event either or_a of~them shall predecease
me or fail to qualify or cease to act as an 'Executor.hereunder,~ I
nominate and appoint .the PEAPACK-GLADS~'ONE BAN1C,•Gladstone, New j
Jersey,. as Executor ~ hereunder in the ~ place .and stead- of -that Execu- ~ '
tar; ~ and ~ in the further event neither one Qf .said individuals -
qualify or both shall cease to act as ari Executor hereunder, then. '
I direct that the said Peapack-Gladstone Bank shall be the sole -
Executor hereunder. ~ ~ _
- FOURTH: I nominate and.-appoint the PEAPACK-GLADSTONE BANK,
Gladstone,~New Jersey, to be the Trustee of the trust created pur- _
suant . to this ~ my Will. ~ - -
FIFTH:. I direct that neither the said Vincent DiLullo nor
Ann Rae Papp nor Peapack-Gladstone~Bank shall be required to furnish
any bond or other security for the faithful performance of his or .
her or its duties as Executor and as to the Peapack-Gladstone Bank- ~
its duties •as Trustee, -hereunder in any jurisdiction.

SIXTH: It is my. wish and direction -that the trust shall be
administered in such manner that the health and welfare of my ~sid '
daughter shall be-the prime objective of_benefits accruing there-
from and payments from corpus; ana that conservation and preserva-
tion of corpus for benefits of remaindermen shall-not be a guide
line in the administration of this trust. -
_ -SEVENTH: In~~rder to avoid the expense and delay incident to _
$ judicial settlement of an account of the estate or .trust created
hereunder, the Executors or Executor, as the case may be, and the
