Whereas, Albert W. Kiele and Aileen Kiele hereinafter referred to as "the
-Limited Partners" and the Port St. Lucie-eank hereinafter referred to as
"The Bank" have errtered into an agreement and asst gment with Mini Malt ;
Associates, Ltd. , a limited Partnership, hereinafter referred to -as "The -
Limited Partnership". -

Mhereas, it is i<he desire of "The Limited. Partners" -to assign their in-
terest their successors , heirs and personal representatives , to any pro-
ceeds owed and/or disbursed by "The limited Partnership" to "The Bank" .
for the consideration of the extension of credit by "The Bank".-to the - t
"The Limited Partners". Such assignment, however, shall-not operate to
release the. borrower from liability to:"The Limited Partnership".,

Now Therefore, in consideration of-the sun of one dollar 01.00) paid by
"The Bank" to-"The Limited Partnership", it is agreed by the signatures -
set to_ this-document_ by all parties that aoy proceeds owned and/or dis-
bursed to the "The Limited- Partners" -their successors, heirs and personal
representatives, shall be made payable to "The Limited Partners" and "The _
-Bank"-jointly and that this agreement. and assignment cannot be cancelled - i
- or altered without all parties rescinding this agreement in writing. _
