the fact. that the Management and Operating Agreement recorded
December 13, 1966; 'in Official Record Book 161,-page 217,-public -
records of St. Lucie County, Flo"ride, between the Operator and

plat of-Bel-Air Groves, recorded in Plat Book 14~, page 11, public
records of St. Lucie County, Florida, was distributed-among the
- shareholders-of Bel-Air Groves, Inc., a Florida corporation, after
written consent to'voluntary dissolution by al? i_ts shareholders
~ and prior to-the filing of Articles of Dissolution by the-Depart-
- aient of State~vf-the State of Florida. The shareholders are the
- { above- i denti fi ed- -owners . The resul t being that a merger figs
!occurred between the parties to that Agreement. In order to
record that distribution and merger and to clear the-record of
that Management- and Operating Agreement,. the parties hereto, they.
- !being all the parties having any interest in-the Agreement and
all-the parties having any interest in the lands involved in the
