4e filled by the Board of Directors; except that Developer, to
the exclusion of the Board shall fill any vacancy created by the
death, resignation, removal~or other termination of services of
any member of the Committee appointed by Developer as long as
the Developer has the right to appoint all of the members of
the Committee. ~ - ~ - - -
The Architectural Committee~is composed of Andrew A. Henry,
Jack -Nac0onald,~Leonard Poianski, and Alberta D. Henry, who shall
constitute this committee as long as .the Developer shall have the
right to appoint all of the members of the Committee, unless this
Committee sooner relinquishes its fungi-on by a document i n
writing duly recorded in the office of the Clerk of the-Ci-rceit
-Court of St. Lucie County, Florida. At-such time, the then. record
Owners of a majority of the Parcels and Dwelling-Units shall have
the power through a -duly recorded written instrument to change the
membership, rather than terminate the Committee's function. The
Board of Directors of the Association shall select the members of
thi s Committee. ~ - -
- C. The Committee shall have the following.powers and
duties: -
(1) To recommend, .from time to timer to the 8vard
of Directors of the-Association, modifications and/or amend-
ments to the Architectural and-Related-Rules and Reg-ulations
in Article YII. Any modification or amendment to. the Archi- -
tectural or Related Rules and Regulations shall be consistent
with the provisions of this Declarat-ion, and shall not be effec- -
tive until adopted by a majority.of the members of the Board of
Directors of-the Association at a meeting duly called and. noticed
and a-t which a quorum is present and voting. Notice of any
modification, -shall be delivered :to each member of the Associa-
tion; provided that, the delivery to each member of the Associa-
tion of notice and a copy of any modification or amendment to -
.Architectural and Related Rules and Regulations shall not con-
stitute a condition precedent to the-effectiveness or validity of
such change or modification.
