Any pirector may waive notice of any meeting of the board of Directors either before or s after the holding of the meeting by a waiver in writing. Attendance by a Oirect~r at any meeting of the Board shall be a waiver of notice by him of the time and place of said meeting. ~ - If all the Directors are present at any meeting of the Board, no notice shall bh required, and 'any business may be transacted at such meeting. _ _ ARTICLE VI - POWERS ANO DUTIES OF THE BOARD OF .DIRECTORS _ A. -The Board of Directors shall have powers and duties:- - - - _ 1. To call meetings of the members. - 2. To' appoint and rea~ove- at pleasure all officers of the Association and require of them such security or fidelity bond as it nay deem expedient. - 3. To establish, levy and assess, and collect assessments necessary to operate the Association and .carry on its activities, and to create such reserves for-extraordinary expenditures as may-be deemed appropriate. by the Board of . Directors. _ 4. To adopt and publish-rules and regulations. governing the use of the Common Areas. - 5. To exercise al-l-powers specifically set forth in the Declaration of Covenants, Restrictions ar+d Easements, the Articles of Incorporation, in-these By-Laws and all powers inci- dental ±hereto. 6., To employ, dismiss and supervise the personnel necessary for the maintenance and repairs and improvements of _ the Common Areas and external maintenance and repair of Members' - Dwelling Units Nhere undertaken, i-t~cluding the right and power to -employ attorneyss accountants, contractors, and other profes- sionals as the-need arises.
