7. To exercise for-the Association all powers, duties
and authority vested in or delegated. to the Association, except
-those reserved to Members in the Declaration of Covenants,
Restrictions and Easemec~ts for Tarpon Bay Villas or the. Articles of
Incorporation of the Association. -

- OFFICERS- -
- A. Elective Officers. The principal elective officers
of the Association shall be a President, Yice-President, - -
- Secretary A Treasurer and s;:ch other officers as shall be _
_ e-lected by the Board-of Directors at the annual-meeting of -
the Board of Directors. Any person may. hold two or more offices
except that the President may not also be Secretary or -
Ass-istant Secretary. The President and Bice-President-shall

be elected from the members-of-the Board of Directors.
6. Election,~Term and Compensation. All officers
i of the Association shall be_ elected annually by the Board of -
~ Directors at its meeting held immediately after the annual

f meeting of the Association and sha l hold office far -the term
~ of one (1)-year or-until their successors have been duly
~ -
- elected and qualified. The-Board may-appoint such other-
- officers as at shall deem necessary who sha~il- have such 3utho- _
- rity and perform such duties as from time to time shall-be
- prescri-bed by the Board. No compensation will be paid to -
officers of the Association. -
C. Vacancies. A vacancy in any- office may be .filled
by the~Board of Directors for the unexpired term. -
0. Removal of Officers. The Board of Direct~:s may
remove any- offs cer by a ma jori ty• vote at any time with- or
without cause. If an officer i s= removed by -the tiaard, such
removal shall be without prejudice to the contract rights., if
- any, of the officer so removed.- .
