AGREEMENT
THIS AGREEMENT mpde this :day -of actober, 1979 by
- -and between Rebus,-Inc., a Delaware corporation ("Rebus"),
Florida Power ~ Light- Company, a Florida corporation ("FP~L"),
and the Treasure-Coast Regional Planning-Council, an agency
--.organized under the laws of Florida, (the "Council"-). -
WITNESSETH:
WHEREAS, Rebus is the owner of certain land situated
in St.-Luci~e County, Florida, as is particularly described
in Exhibit A attached hereto and made a part hereof, subject -
to all easements, restrictions and encumbrancea of record
- (the "Property"); -
WHEREAS, The Board of County Commissioners of St.
Lucie County, Florida-issued Development Order No~ 79-76
on the 14th day. of August, 1979 authorizing FP~L to construct
two 500 RV transmission lines across a portion/of the Property
(the "Development Order"); ~
- WHEREAS, the Council has informed FP~L and Rebus that it
will appeal the Development Order as it relates to the Property
unless certain commitments are made relating to the conserva-
tion of a certain Cypress Area (as hereinafter defined) on
the Property through which the transmission lines which are
~ the subject of the Development, Order will pass;

WHEREAS, Rebus and FP~L have previously reached an
understanding as to certain acts to_be undertaken by each
for the .conservation of the Cypress- Area and are willing to
confirm this understanding to the Council; and,
