Tropicana Products, Inc.'s Participation price paid to Grower Will be no leas than
eighty-three ($.83) cents per pound oil aolid+s delivered PLUS oae-half (1/2) the rise
determined by the formula provided in the contract if it exceeds the guaranteed
price provided for herein, for the 1979-1980, season.
~ Advaace to be at the rate of 80x of guaranteed price, or of the Buyers spot market
j ~ price per pound of solids at time of delivery, whichever is-greater.

j 2. This contract It to be a lien upon the fruit of Seller until the CoOtt3Ct hu been fulfilled. irrespective of any subsequent transfer of title to
the fruit. Non-delivery of the specified volume of fruit shall entitle the Buyer to specific performance of the contract. if fire, strike, Act of God,
etc., prevents Buyer from accepting any of Seller's fruit, Buyer will permit Seller to sell elsewhere the arnewnt of ftui( that Buyer is so
prevented from accepting.

3. The fruit is to be picked by Seller and is to be delivered by Seller to Buyer
s processing plant. The fruit is to be picked and delivered u

convenience of Seller. Buyer shall have the right, but not the obligation, to take fruit having degrees Briz lower than 9.5°. He shall have the

after January 1 of each growing xason. No fruit will be delivered under contract after July IS of current xason without consent of Buyer.
Buyer will not be required to take any Temples, Murcotts, Tangelos, or Navel Oranges.
A. The fruit is to be paid for as folbws: Buyer will advance Seller weekly for all fruit delivered during that week at the rate of 80°k of
Buyeri spot market price per pound of solids at the time of delivery. less the items ro be deducted as stated in paragraphs 4 and 5 of this
contract. This is to be known u the "tentative price.'' The final price to be paid' Seller will be based upon the net amount received by Buyer
for the chilled orange juice sold. All fruit received from all sources (including Buyer's own oranges, and aU the oranges they may buy) will be
used and all wppliers will be treated equally in computing that price. The price for fnrit classified as Early srd Midseason fruit will be
~ determined u one category and the price of fruit classified u Late xason will be determined as a separate category. The price for both
categories will be computed as follows: Buyer will deduct from his net F O. B. Bradenton, Florida, selling price les ,allowances, certain items '
