3. The Operator will, to the best of its ability, and in accordance with
the standards of the citrus industry, arrange for: (a) the employment of all
labor required to operate the Grove and Common Property in an economically t
efficient and husband-like manner; (b) the purchase, lease or rental of the ~
equipment necessary to operate and maintain the Grove; (c) supervising
drainage, irrigation and water control matters, including the Common Property;
• (d) the harvesting, marketing and sale of the produce from the Grove at the
best obtainable prices in accordance with the customary prodecure for the
Indian River area and, if in its opinion feasible, the raising and marketing
of any fish from or other product of the Common Property. The Operator is
authorized to use the services of other brokers, commission merchants, joint

partners or auctions in marketing, distributing and selling all of the citrus fniit. `
4. Operator will at all times maintain and keep customary books and
records pertaining to the. Grove (and the Common Property) and reflecting all
transactions in connection therewith. Each Owner shall have access to its
Grove (and to the Common Property) at all times to inspect and observe any
operations thereon.and shall have access at all reasonable times to all in- ~

formation pertaining to the development or operation thereof; Operator will
~~i., furnish each Owner with monthly financial statements and any other information
~ that maybe reasonably requested pertaining to the Grove and Common Property.
5. Operator shall have the complete and irrevocable power and authority,
exercisable in its discretion, to enter into any and_all appropriate labor, ~
~ material, rental, construction or other agreements that it may deem reasonable,
appropriate and necessary to carry out the purposes, terms and conditions hereof.
Operator shall further have the complete and irrevocable -power and authority,
exercisable in its sole and complete discretion, to determine the need for, purchase }
and obtain all types of insurance, including public liability, workmen's compensa- [
tion and federal risk ("crop") insurance, in any amounts it may deem reasonable,
appropriate and necessary to carry out the purposes, terms and conditions of this
agreement. The judgment and discretion of Operator exercised in good faith shall ~
