give and grant unto my personal representative full right and
power to hold, manage, invest, reinvest, sell, convey, mortgage,
pledge and lease all or any portion of my property, whether
real, personal or mixed, tangible or intangible, wherever situated
of which I may die seized or possessed; and I further give
and grant to my personal representative the right to otherwise
dispose of the assets of my estate at public or private sale _
and upon such terms or conditions as she may see fit, and the
further right to make, execute and deliver any and all contracts,
options, deeds or other instruments carrying out the authority
herein given as she may deem necessary or proper for the con-
venient and advantageous management and settlement of my estate;
and she may make distribution in cash or in kind, without regard
for any law or statute limiting the powers of personal represen-
tatives.
In the event GLORIA H. ROOKS should predecease me, or
for. any reason fail to qualify as personal representative,
or if having qualified is unable to continue as such personal
representative, then and in any of such events, I hereby appoint
DOUGLAS W. ROOKS and MARY R. ROORS RRUEGER as co-personal repre-

( sentatives of my estate, to serve without bond, and with the
I same powers as bestowed above. '

IN WITNESS WHEREOF, I do hereby publish this instrument
as and for my last will and testament, consisting of this and
one preceding page on the margin of which I have placed my
signature, this 8th day of December, 1978- .
