J) With respect to any claim assertible by or asserted against
any of the trust estates, to prosecute, defend, cause to be arbi-
trated or to compromise, ad3ust and settle the same for considers-

tion and upon such conditions as they deem prudent.
K) To engage, rely upon and delegate discretionary power to !
agents, employees and counsel, including investment counsel, and
to compensate them from the resources of any of the trust estates.

To compensate any one or more of the Trustees for the fair and ~
reasonable value of their services to the trust. '
VIII.
As -used in this Trust Indenture, where appropriate, the masculine
includes the feminine, and the singular includes the plural (and vice versa) -
and the following terms have the following meanings:
"Issue" means all persons who are descended from the person
referred to, either by legitimate birth to, or legal adoption
by, him, or any of his legitimately born or legally adopted
descendants. - ~ -
"Child" means naturally born or legally adopted children of the
Donor. - .
A child in gestation at the time of an event, who is later
born alive, is "living" or"surviving" at the time of such
event.

theless, that William D. Oudding shall have the right to act on his sole -
authority. If in any other situation my Trustees cannot agree on an act to
be~done or refrained from, any one of them may apply to the District Court
