BEFORE ME this day personally appeared BETTY LOU POLLOCK and
ROBERT E. POLLOCK, who being duly sworn, depose and say:
1. That Frederic Hilton, Betty Lou Pollock and Robert E.
Pollock were the original incorporators, stock holders, officers
and directors of State Land Agency Corp., a Florida corporation,
chartered on January 12, 1973; that Frederic Hilton died intestate
on May 22, 1979, while a resident of Saint Lucie County, Florida,
and that no estate proceedings have been or will be forthcoming as
he left no debts and no probatable assets; that Betty Lou Pollock
is the sole surviving heir at law of Frederic Hilton and that Betty
Lou Pollock and Robert E. Polloc}: constitute the only surviving
stockholders, officers and directors of said corporation and as such
are the only surviving trustees. of Florida Land Agency Corp., a
Florida corporation which was dissolved by non-payment of Capital Stock
tax, on December 11, 1976:
2. That the corporation has no known debts, liabilities or
~ obligations known to them as such trustees.

3. That they are duly qualified to act as the trustees and
that they constitute not only a majority but all of the trustees in
~ existence and this affidavit is to be used for their authority in the
execution of the assignment~of mortgage to which it is appended and
is given in compliance with Florida State 607.301.
