HomeMy WebLinkAbout1733 3.10 At any time prior to a vote upon any matter at a meet_nq of the Membership, any Member may raise the question of the use of a secret written ballot for t:~e voting on any master. In the eve^t o: the use o= such secret written ballot, the chairman o: the meeti.^.g shall call for nominations-and the election of inspectors of election to collect and tally suca •N=itten ballots upon the completion of tae balloting upon s;:c^ matter. Section 4. Hoard of Directors; Directors' Meetirgs. 4.1 The form of admi^istration o: tae Condominium Association shall be by a Board of Directors. The "First Hoard", as defined in Article VIII of the Articles, shall consist of three (3) Directors and at no time shall there be less than-three (3) Directors on the Board. 4.2 The election ard, i~ applicable, designation of Directors, shall be conducted in accordance with the Articles. 4.3 Subject to the Developer's rights set - forth in Section 4.5(b) below, vacancies in~the Board shall - be filled by persons elected by the remaining Directors. Any such person shall be a Director and have all of the rights, privileges, duties and obligations of .a Director elected at an Annual Members Meeting and shall serve for the term prescribed in Section 4.4 of these Hy-Laws. 4.4 The term of each Director's service shall extend until the next Annual Members Meeting and/or until his successor is duly elected and qualified, or until he is removed in the manner elsewhere provided herein. 4.5 (a) A Director elected by the "Purchaser Members", as Baia term is defined in the Articles, :nay be removed from office upon the of f irz?ative vote o f two-thirds ( 2/ 3 ) of the Purchaser Members at a special meetiaq of the Purchaser Members for any reason deemed by the Purchaser Me.*nbers to be in the best interest of the Condominium Association.. Kowever, before any such Director is re;aoved from office, he stall be ~ notified in writing that a motion to remove him will be made prior to the meeting at which said motion is to be made, and such Director shall be given an opgor*_unity to be heard at such meeting shoulc he be present oricr to the vote on his removal.
