counsel fees and other expenses, taxes and other govern- °
mental charges incident thereto.
11. Com Hance with Law and Re ulations.
(a) Mortgagor s a at its expense, promptly comply with
the requirements (herein called "Legal Requirements") of +
every applicable statute, law, ordinance, regulation or
order, whether in effect on the date hereof or hereafter
enacted or made by any Federal, State, municipal or other
public body, department, bureau, officer or authority, with
respect to or affecting (w) the Mortgaged Property, and the
appurtenances thereof, (x) the use or occupation of the
Mortgaged Property including the construction or repaid of,
or the making of any alteration or addition in or to, the .
Mortgaged Property, (y) the removal of any encroachment, and
(z) any vault, sidewalk or other space in,under or over any
street or avenue adjoining the Premises, whether or not such
compliance involves repairs or changes that are interior or
exterior, structural or nonstructural, foreseen or unforeseen,
ordinary or extraordinary, whether or not such compliance is
required on account of any particular use to which the
Mortgaged Property or any part thereof, may be put, and
whether or not any such statute, law, ordinance, requirement,
regulation or order ye of a kind now within the contemplation
of the parties hereto. Any covenant, agreement, condition
or undertaking affecting the Premises which is a covenant run-
ning with the land shall be deemed a Legal Requirement. .
(b) Provided non-compliance therewith shall not
constitute a crime or an offense punishable by fine or
imprisonment or risk the imposition of a penalty against
Mortgagee or a lien against the Mortgaged Property, Mort-
gagor may, at Mortgagor's expense, contest the validity
j of any Legal Requirements and such non-compliance by Mort-
i ~ gagor during such contest, provided that such contest shall
f` be promptly commenced and diligently prosecuted, shall not
I be deemed a breach of this covenant, and provided further
that before the commencement of such contest Mortgagor shall
furnish to Mortgagee such reasonable security as may be
demanded by Mortgagee by way of deposit of sums sufficient
to assure the full payment of the cost of such compliance
and shall indemnify and save harmless Mortgagee against any
and all liability for any damages, loss, cost or expense of
any kind that may be imposed upon Mortgagee in connection
therewith, including reasonable attorneys' fees through and
including all appellate levels.
12. Inspection. Mortgagee and any persons author-
ized by Mortgagee shall have the right at any time, upon
reasonable notice to Mortgagor, to enter the Mortgaged
Property at a reasonable hour to inspect and photograph its
condition and state of repair.
13. Declaration of No Set-Off. Within one (1)
_ week after being requested to do so by Mortgagee, Mortgagor
shah certify to Mortgagee or to any proposed assignee of this
Mortgage, .in a writing duly acknowledged, the amount of
principal, interest and other charges then owing on the
