gaged Property, other than the indebtedness secured here-
by and the liens heretofore approved by Mortgagee, if any.
(b) Mortgagor shall have no right to permit
the holder of any subordinate mortgage or other subordinate
lien, whether or not consented to by Mortgagee, to terminate
any Lease without first obtaining the prior written
consent of Mortgagee. The holder of any subordinate mort-
gage or other subordinate lien shall have no such right,
whether by foreclosure of its mortgage or lien or otherwise,
to terminate any Lease,-whether- or not permitted to do
so by Mortgagor or as a matter of law, and any such attempt
to terminate any Lease shall be ineffective and void
without first obtaining the prior written consent of Mort-
gagee.
(c) No lien~or encumbrance of any type,
whether voluntary or involuntary, shall be permitted to
be filed or entered against the Mortgaged Property without
the prior written-consent of the Mortgagee. If any such
lien or encumbrance is filed or entered-, Mortgagor shall
have it removed of record within twenty-five days after it
is filed or entered by either paying it, having it bonded in
a manner which removes it of record or otherwise having it
removed of record, or provide other security satisfactory
to Mortgagee.
20. No Transfer. Without the prior written con-
sent of Mortgagee, Mortgagor will abstain from and will not
cause or permit, to the extent it may do so, any transfer of
-title to or beneficial interest in the Mortgaged Property or
any part thereof, voluntarily or by operation of law (other i
than by death or by execution on the Note or foreclosure
under this Mortgage), or any transfer of stock in Mortgagor
or any entity comprising Mortgagor if Mortgagor or any such
entity is a corporation, or of interests in Mortgagor or any
entity comprising Mortgagor if Mortgagor or any such entity
~ is a partnership or joint venture, whether by sale, exchange,
conveyance, merger, consolidation or otherwise, except that
either of the partners of Mortgagor may transfer all or part
~ of its interest in Mortgagor to the other partner without
Mortgagee's consent, but the transferor shall remain liable
for all obligations under the Related Documents whether such =
obligations arise before or after the effective date of the
transfer. '
21. Partial Release. Mortgagee, at its sole
option, may release from the lien of this Mortgage any
part of the Mortgaged Property. In addition, upon written
request of Mortgagor and if Mortgagor has complied with abl -
the conditions set forth in the Construction Loan Agreement
relating to,-the conveyance of condominium units in Oceana ~
South Condominium I and Oceana South Condominium II (the
"Condominiums"), Mortgagee agrees to release from the lien
hereof any one or more of the resulting condominium units
and the interest in the common elements of the Condominiums
pertaining thereto, presently proposed to be constructed and
improved as set forth in Exhibit B of the Construction Loan
Agreement and the personal property and fixtures included in
the sale of such units in the Condominiums, subject, however,
to the following:
(a) Mortgagor shall not be in default under
the Note, the Construction Loan Agreement, this Mortgage or
any other. Related Document or under any of the documents
