KNOW ALL .MEN BY THESE PRESENTS THAT as of this
Z~ day of March, 1980, RADNOR/OCEANA SOUTH PARTNERSHIP, a
Florida general partnership, having an office at 9920 N.E.
Ocean Boulevard, Hutchinson Island, Jensen Beach, Florida

33457 (the "Assignor"), in consideration of One Dollar
{$1.00) paid by IRVING TRUST COMPANY, a New York banking
corporation having its principal office at One Wall Street,
New York, New York 10015, (the "Assignee"), hereby conveys,
transfers and assigns unto the Assignee, its successors and ~

assigns, all rights, interests and privileges which the 1

Assignor has or may have 'in or arising from (1) all and any. {
purchase agreements (the "Purchase Agreements"), now exist-
ing or hereafter made, for condominium units to be hereafter
created by Assignor on the real property which is~described
in Exhibit "A" attached hereto (the "Property"), as the Pur- f
chase Agreements may have been, or may from time to time be
hereaf ter, modified or extended, and (2) its position as
declarant or developer of the condominiums to be hereafter
created on the Property and to be known as Oceana South
Condominium I and Oceana South Condominium II (the "Condo-
. miniums") arising out of any and all documents-creating the
Condominiums ("Condominium Documents") including, but not
limited to, the Declarations of Condomi nium, the Articles
of Incorporation. end the By-laws of Oceana South Condominium
