connection with the preparation of this document and closing
fees, and the payment and discharge of all liens on said property 4
with the exception of the first mortgage hereinabove recited.
Buyers shall be responsible for the payment of the recording of
this Agreement, closing fees, and title insurance. '
13. Sellers warrant that ail bUllt in appliances.
plumbing, electrical and airconditioning shall be in working
order at the time of the closing and the roof in good repair. ~
Buyers to pay for a termite inspection report and Sellers to pay
the cost of any treatment deemed necessary by such report.
14. All monies required to be paid herein shall
be payable in currency of the United States of America.
- 15. It is acknowledged by the parties that the
Buyers are establishing banking relationships and accounts with
the Stuart National Bank for the purpose of making the payments t
as herein required. In this connection the Sellers to hereby '
authorize the said Stuart National Bank to withhold from such
funds and to pay for their account the first Mortgage which they
owe and have agreed to continue to pay to GDV~FINANCIAL
CORPORATION and assigned to the WILLIAMSBURG SAVINGS BANK, such
payment to include principal, interest and all required escrow
payments. The remaining balance thereafter shall be remitted to
the Sellers at such place or places as shall be directed by the
Sellers. all at no cost to the Sellers. ~
~ 16. The Sellers expressly agree that they will
not transfer, assign or otherwise convey the real property

described in this .Installment Sale Contract to any third party
and will indemnify Buyers from any and all damages incurred by
Buyers for violation of this provision. In addition, the Sellers
will in no manner cause any clouds of title to be placed upon the
above described real property subsequent to the execution of this

t Installment Sale Contract, including but not limited to any
mortgages, liens, judgments or other encumbrances. If it is

ascertained that any clouds of titl-e have occurred, the Sellers
~ agree to indemnify and hold harmless the Buyers from any and all 4
