WAIVER: The rights and remedies of the LESSORS under this lease, as well as those provided or accorded by law, shall be cumu- lative, and none shall be exclusive of any other rights or remedies here- under or allowed by law. A waiver by LESSORS of any breach or breaches, default or defaults, of LESSEES hereunder shall not be deemed or construed to be a continuing waiver of such breach or default, and it is agreed that the acceptance by LESSORS of any installment of rent subsequent to the date the same should have been paid hereunder, shall in no manner alter or affect the covenant and obligation of LESSEES to pay subsequent install- ments of rent promptly upon the due date thereof. No receipt of money by LESSORS after the termination in any way of this lease shall reinstate, continue or extend the term above demised. 17. NOTICES: Any notice hereunder shall be sent by regis- tered or certified mail, postage prepaid, addressed to LESSEE c/o Agro Tech International, Inc., P.O. Box 560725, Miami, Florida 33156, and to LESSORS where rent is payable. Postmark- date shall be used as effective date of notice. ' 18. OPTION TO RENEW: LESSORS hereby grant to LESSEES the right and privilege to renew this lease for one additional term of five ' (5) years, on the same terms and conditions at an annual rent of EIGHTY ~ FOUR THOUSAND DOLLARS ($84,000.00), payable $21,000.00 each quarter- I annual period on the first day of the first month of each such quarter in ~ advance. In the event LESSEES decide to exercise this option to renew, LESSEES shall so notify LESSORS, in writing, at least six (6) months prior to the expiration of the original term. 19. RIGHT OF FIRST REFUSAL: In the event LESSORS receive and desire to accept a bona fide written offer from a third party for the purchase of the demised premises, or any part thereof, or any interest therein, in each such case, LESSORS will give LESSEES written notice of such offer including a true copy of such third party's offer to purchase and LESSEES shall have the first right of refusal within thirty (30) days from receipt of such notice, to buy the demised premises pur- suant to the same terms as those contained in the third party's offer. t 1iRe ~~cc)~(] BOOK J PAGE
