THIS CAUSE came to be heard before the Court
on the Motion to Dismiss of Defendants, PARMAN FLORIDA, INC.,
PROTEAN INVESTORS,. INC., and BANKERS TRUST CO., and after
having considered same and being duly advised in the premises,
it is Ordered and Adjudged that:
1. Defendants' Motion to Dismiss is hereby
granted as to Counts II and IV of the Complaint, and
Plaintiff-shall have twenty (20) days in which to amend
its Complaint.

~ 2. Defendants' Motion to Dismiss Count I is
~ granted with prejudice as to PARMAN FLORIDA, INC. and
~ -
without prejudice as to BANKERS TRUST CO. and PROTEAN
INVESTORS, INC. Plaintiff shall have twenty (20) days in
which to amend Count I of its Complaint against BANKERS
TRUST and PROTEAN INVESTORS, INC.
3. Defendants' Motion to Dismiss Count III of
the Complaint is hereby denied.
