concerning the trusts herein created, after forming their
judgment based upon all the circumstances of any particular

situation as to the wisest and best course to pursue in the
interest of the trusts and the beneficiaries hereunder, without
the necessity of obtaining the consent or permission of any

erson interested therein, or the consent or a !
P pproval of any
i
court, and notwithstanding the Trustees may also be acting. #
individually, or as Trustees of other trusts, or as agent for
i
other persons or~corporations interested in the same matters, '
or may be interested in connection with the same matters as ~ °
stockholders, directors, or otherwise, provided, however, that
the Trustees shall exercise such powers at all times in a
fiduciary capacity primarily in the interest of the

beneficiaries hereunder.
(R) The powers herein granted to the Trustees may be
exercised in whole or in part, from time to time, and shall be
deemed~to be supplementary to and not exclusive of the general
t
powers of trustees pursuant to law, and shall include all t
powers necessary to carry the same into effect.
VII. Payment of Tax. Upon .t he death of the Grantor, the
Trustees shall pay all taxes owing by the Grantor at his death, i

oz lawfully imposed by reason of the death of the Grantor, s
including income and gift taxes, federal estate taxes;

inheritance taxes, succession and transf er duties and all other
f
taxes, interest and penalties predicated upon the death of the
Grantor as the taxable event, including, but not by way of
limitation, all taxes on the proceeds of any insurance '
policies, annuities, jointly held property, tenancies by the
entirety, trusts or gifts, which may be included as part of the
estate of the Grantor for tax purposes. The payments herein '
authorized may be made to the executor of the estate of the
Grantor or may be made directly to the appropriate governmental
agency, and with respect to -aIl such payments, if any, so made 3

by the Trustees., the Trustees shall not seek reimbursement ~
