Co-Trustee hereunder (or as sole Trustee if said Grantor should
be unable or unwilling to serve). If J. NEIL HUBER, JR. should
be unable or unwilling to serve, then ERIC M. MINNE' shall
serve as Co-Trustee (or as sole Trustee if Grantor should be
unable or unwilling to serve). If ERIC M. MINNE' should be
unable or unwilling to serve, the MARK TWAIN NATIONAL BANK OF
LADUE, Ladue, Missouri (and its successor or successors and
assigns) shall serve as Co-Trustee .(or as sole Trustee if
Grantor should be unable or unwilling to serve).
(C) Limitation on Powers. During such period of time _

that any beneficiary is serving as a Co-Trustee hereunder, .such

beneficiary is specifically prohibited from exercising any

discretionary powers relative to distributions of income or
principal in favor of such beneficiary, any of such ~

beneficiary's creditors, or any person legally dependent upon L
such beneficiary. This provision shall not apply to any power
such beneficiary may have in such beneficiary's personal }

capacity and not as Trustee, and this provision shall not apply
to the Grantor hereof.
(D) Discretion to Terminate.. Subsequent to the death
of the Grantor, in the event that a corporate Trustee is
.serving hereunder and that the share or separate trust held for
any beneficiary hereunder who is then at least twenty-one years
of age has in the opinion of the Trustees a fair market value
of Twenty-Five Thousand Dollars ($25,000.00) or 1 ess, the
Trustees may, in the discretion of the corporate Trustee, but
are not required to, terminate such trust and distribute the
,principal and any accrued or undistributed net income thereon
to such beneficiary, or to his or her guardian or other
fiduciary.
(E) Powers and Responsibilities of Successor
Trustee. A successor Trustee shall be vested with all the
rights, powers, and privileges of the original Trustees. A
successor Trustee shall have no responsibility or
