The GERALD M. MINNE REVOCABLE TRUST, in consideration of
the above assignment and written consent of the Sublessor thereto,
hereby accepts the same, and assumes and agrees to make all the
payments and perform all of the agreements and conditions of
said Sublease of the Sublesee to be performed, this 19?h day of
