This conveyance is made subject to the following restrictive
covenant which is to be construed as a covenant running with the ~
land, and shall inure to the benefit of and be enforceable by, the }
i
Grantors, their heirs, legal representatives and assigns, and shall
be applicable and binding upon the Grantees, their heirs, Legal
representatives, and assigns.
1. If the Grantees or their successors in title, desire to
sell the subject property; including any permanent improvements
added thereto, Grantees covenant and agree to give to the Grantors-
thirty (30) days' notice of such proposed sale and the terms there-
of, Grantors .shall have the right of first refusal to purchase
the subject property within the above mentioned, thirty (30) day +
period, at the same price and upon the same terms of any such

proposal. Upon the Grantors refusal to accept such offer, or afterf
the expiration of thirty (30) days from the receipt of notice by
the Grantors, without having accepted the offer, the Grantees will 1
be relieved of all liability to Grantors insofar as this right of
f
first refusal is concerned. yy
2. This covenant and right of first refusal is intended to ?

be in effect for a period of forty (40) years, but in no event ~

longer than allowed under applicable law. j
~ 3. This right of first refusal is an integral part of the j

conveyance of the subject property, it being the express under-
, !
standing of the parties hereto that but for the above right of
first refusal, the Grantors would not have conveyed the subject
property to the Grantees.

4. By accepting this Deed, the Grantees agree that the fore-

~ going covenant and condition is made as a part of the consideration
,
for this conveyance and is a part of the purchase price of the
above-described land.
