THE ABOVE DESCRIBED REAL PROPERTY is unencumbered and is hereby
conveyed by the above named general partners as stockholders of
the corporate grantee as contributions to the grantee's capital, -
and not in exchange for a valuable consideration.
AND, the Grantor, by and through the undersigned, hereby
covenant with said Grantee that the undersigned constitute all
of the General Partners of the Grantor; that the Grantor is lawfully
seized of said land in fee simple; that the grantor has good right
and lawful authority to sell and convey said land; that the grantor
fully warrants the title to said land and will defend the same
against the lawful claims of all persons whomsoever; and that said
land is free of all. encumbrances, except taxes accruing subsequent
to December 31, 1979.
IN WITNESS WHEREOF, the grantor has caused this instrument to
be executed on this, the day and year first above written.
