or obligation which it has assumed under this lease.
2. Lessee may sub-lease any portion of the operation
of the Motel business operated on the premises to another
person, firm or corporation; provided, however, such a sub-
lease shall not relieve Lessee of any of its obligations or
responsibilities under this lease; and, provided further,
that the rental reserved herein shall continue to be paid to
Lessor as otherwise set forth herein.
3. Lessee may, after prior approval of Lessor
which shall not be unreasonably withheld, assign to an
independent qualified third party, the balance of this. lease; - r
provided, however, such assignment will not relieve `
Lessee of any responsibility or obligation which it has
assumed under this lease.
4. Notwithstanding anything in this Section XV, the
right and ability of the Lessee to assign or sub-lease
a part of the Motel operation or this lease in its entirety,
is subject and conditioned upon the approval, if required,
of any mortgagee or other lien or security holder of all or
a portion of the premises or assets situated thereon. {

COVENANT OF QUIET ENJOYMENT
Lessor covenants and agrees with Lessee that upon

Lessee paying the rent reserved herein, insurance premiums,
mortgage payments, utilities, taxes and performing all
of the covenants and conditions aforesaid on Lessee's
part to be observed and performed, Lessee shall and may
peaceably and quietly have, hold and enjoy the premises
hereby demised for the term aforesaid, subject, however, to

the terms of this lease, and subject to all local, state and
federal laws during the term of this lease, and any renewal
terms hereof. `

INDEMNITY '
The parties hereby agree to indemnify each other
for the costs, expenses and attorney's fees incurred in
any litigation which .arose solely because of the act or
