Officers shall be elected for one (1) year terms by the Board and its
annual meeting following the annual meeting of the members of the
Association and will serve at the pleasure of the Board of Directors.
The names and addresses of the officers who will serve until their
successors are duly elected and qualified are:

ARTICLE VII
INDEMNIFICATION
A. Every Director and every officer, his heirs, personal
representatives, executors, and administrators shall have the right of .
indemnification by the Association against all loss, cost and expenses
reasonably incurred by him including, but not limited to any legal or
equitable action, suit or administrative proceeding to which he may
j be made a party by-reason of his being or having been a Director or

~ officer of the Association, including reasonable attorney's fees,
~ except as to matters wherein he shall be finally adjudged in such
~ action, suit or proceeding to be liable for or guilty of gross negli-
gence or willful misconduct. The foregoing rights shall be. in addi-
tion to and not exclusive of all other rights to which such Director
of Officer may be entitled.
B. The Board of Directors shall determine whether amounts
g for which a Director or officer seeks indemnificaiton were reasonable
and properly incurred and whether such Director or officer acted in

good faith and in a manner he reasonably believed to be in the best
interests of the Association, and whether, with respect to any
~ criminal action or proceeding, he had no reasonable ground for belief
that such action was unlawful. Such determination shall be made by
