"voting member" selected by the co-owners as they may determine,
but in no event sfiall more than one vote be cast with respect to
any Dwelling Unit. Where an owner owns more than one Dwelling
Unit, the Owner shall have one vote for each Dwelling Unit subject
to the foregoing provision with respect to more than one member
having an interest in any Dwelling Unit. If ownership of a
Dwelling Unit is vested in a corporation, said corporation may
designate an. individual officer or employee of the corporation as
its voting member. Except where otherwise required under the pro-
visions of these Amended By-Laws, the Amended Declaration of Cove-
nants, Restrictions And Easements for Tarpon Bay Villas or the
Amended Articles of Incorporation, the affirmative vote of the
Owners of a majority of Dwelling Units represented at any meeting
of the members duly called and at which a quorum is present shall
be binding upon the members.
C. Annual Meeting. The annual meeting of the Members
shall be held at such place within the State of Florida as the
Board of Directors shall determine on the Fifteenth of January of
each year, at Ten o'clock in the forenoon of that day. (If the
day so designated shall fall upon a Sunday or legal holiday, then
the meeting shall be held upon the first business day thereafter.)
The Secretary- shall serve personally, or by mail, a written notice
~ thereof, not less than five (5) nor more than fifteen (15) days

previous to such meeting, addressed to each Member at his address;
but at any meeting at which all Members shall be present, or of
which all Members not present-have waived notice in writing, the
~ giving of notice as above required may be dispensed with.
D. Special Meetings. Special meetings of the Members

of such meeting stating the purpose for which it is called shall

~ be served personally or by mail by the Secretary not less than
five (5) days nor more than fifteen (15) days before the date
set for such meeting. If mailed, it shall be directed to a
Member at his address; but at any meeting at which all Members
