notice in writing, the giving of notice as above described may be
dispensed with. The Board of Directors shall also, in like man-
ner, call a special meeting of Members whenever so requested in
writing by Members representing not less than a majority of the
Members of the Association. The President may in hid discretion
call a special meeting of Members upon ten (10) days notice. No -
business other than that specified in the call for the meeting, t
shall. be transacted at any meeting of the Members, except upon the
unanimous consent of all the Members entitled to notice thereof.
Special meetings may be held within or without the State of Florida.
E. Proxy. Votes may be cast in person or by proxy.
All proxies shall be in writing and signed by the person eititled ~
to vote and shall be filed with the Secretary prior to the meeting
in which they are to be used and shall be valid only for the par-
ticular meeting designated therein. Where a Unit is owned jointly
by a husband and wife and they have not designated one of them as a
voting member, a proxy must be signed by both husband and wife where
a third person is designated as proxy.
F. Validation. When four-fifths (4/5) of the Members

present at such meeting, however called or notified, and shall sign

a written consent thereto on the record of the meeting, the acts of
I such meeting shall be as valid as if legally called and notified.-
; Notice of such action shall be given to all members, unless all

members approve such action.
~ G. Adjourned Meeting. If any meeting of members lacks

a quorum of voting members, either in person or by proxy, the
meeting may be adjourned from time to time until a quorum is present.

A. Directors Meetings. The annual meeting of the. Board
of Directors of the Association shall be held on the sixteenth day
of January of each year at four o'clock in the afternoon at a place
