ARTICLE VI
POWERS AND DUTIES OF THE BOARD OF DIRECTORS
A. The Board of Directors shall have powers and
duties:
1. To call meetings. of the members. j
2. To appoint and remove at pleasure all officers
of the Association and require of them such security or fidelity
bond as it may deem expedient.
3. To establish, levy and assess, and collect
i
assessments necessary to operate the Association and carry on its
activities, and to create such reserves for extraordinary expendi-
tures as may be deemed appropriate by the Board of Directors.
4. To adopt and publish rules and regulations
governing the use of the Common Areas.
• 5. To exercise all .powers specifically set forth
in the Amended Declaration of Covenants, Restrictions and Easements,
the Amended Articles of Incorporation, in these Amended By-Laws
and all powers incidental thereto.
6. To employ, dismiss and supervise the personnel
necessary for the maintenance and repairs and improvements of the
Common Areas and external maintenance and re air of Members' Dwellin

Units where undertaken, including the right and power to employ
attorneys, accountants, contractors, and other professionals as the
need arises. Nothing contained in these Amended By-Laws shall be
construed to prohibit the employment of any Member, Officer or

Director of the Association in any capacity whatsoever.
~ 7. To exercise for the Association all powers,
duties and authority vested in or delegated to the Association,
except those reserved to Members in the Amended Declaration of ~

Covenants, Restrictions and Easements for Tarpon Bay Villas or the +
Amended Articies of Incorporation for the Association. i
