OFFICERS
A. Elective Officers. The principal elective of-
ficers of the Association shall be a President, Vice-President,
Secretary & Treasurer and such other officers as shall be elected i
by the Board of Directors at the annual meeting of the Board of
Directors. Any person may hold two or more offices except that
the President may not also be Secretary or Assistant Secretary..
The President and Vice-President shall be elected from the members
of the Board of Directors. ~
B. Election, Term and Compensation. All officers of
.the Association shall be elected annyally by the Board of Directors
at its meeting held immediately after the annual meeting of the
Association and shall hold office for the term of one (1) year or
until their successors have been duly elected and qualified. The
Board may appoint such other officers as it shall deem necessary
who shall have such authority and perform such duties~as from time -
to time shall be prescribed by the Board. No compensation will be
paid. to officers of the Association.
' C. Vacancies. A vacancy in any office may be filled
''i by the Board of Directors for the unexpired term.
D. Removal of Officers. The Board of Directors may
remove any officer by a majority vote at any time with or without

cause. If an officer is removed by the Board, such removal shall

be without prejudice to the contract rights, if any, of the of- ~
i
ficer so removed.
E. President. The President shall be the chief ex-
~ ecutive officer of the Association, shall have general and active
management of the business and affairs of the Association subject
to the directions of the Board of Directors, and shall preside at

all meetings of the Association and Board of Directors. He shall
sign all written contracts, notes, checks, and all other written
instruments on behalf of the Association and shall perform all of
the duties incidental to his office which may be delegated to him
~ from time to time by the Board of Directors.
