Representative of this, my Last Will and Testament. In the event she should .
fail for any reason whatsoever to act in such capacity, I do hereby constitute
and appoint, JC[~1 E. PRFWITT, as my Personal Representative.

mortgage any assets of my estate, whether real or personal; to sell for cash
or credit; to ca~prcmise any claims belonging to and against my estate as they
may dean lawful; to retain such securitites, property and investments that I
may awri at the time of my death for such period of time as they may dean advis-
able, whether or mt such investments are authorized by law as investznents for
fiduciaries; to distribute in cash or in kind or partly in cash and partly in
kind. -
