bers at a meeting is requ re or permitted by any provision of
law, the Declaration of Condominium, the Articles of Incorporation
or these By-Laws to be taken in connection with any action of the
Association, the meeting and vote of rnernbers may be dispensed
with, if all members who would have been entitled to vote upon the
action at such meeting, if such meeting were held, shall have con-
sented in writing to such action being taken.
Section 9. Order of Business: The order of business at
annual members' meetinys, and as far as practical at other.
members' meetings, shall be:
1. Election of Chairman
2. Roll call and Quorum Determination
3. Proof of Notice of Meetiny or Waiver of Notice
4. Reading of Minutes of Prior I•leeting
S. Officers' Reports
6. Committee Reports
7. Elections
8. Unfinished Business
9. New Business
10. Adjournment
Section 10. Procedure: Roberts Rules of Order (latest-
edition) shall govern the conduct of Association proceedings when
not in conflict with the Articles of Incorporation, these By-Laws
or any provision of law.
Section 11. Tarpon Ba}• Yacht Club Property Owners
Association, Inc. shall be entitled to notice of all Association
meetings, and shall be entitled to attend tt~e Association
rreetinys, and it inay designate such person as it desires to attend
Association meetings on its behalf.
s ARTICLE VII
f NOTICES
Section 1. llefinition: Except where expressly provided to
the contrary, whenever under the provisions of law, the
Declaration of Condominium, the Articles of Incorporation or these
i;y-Laws, notice is required to pe given to any director or
member, it shall not be construed to mean personal notice; but '
such notice may be yiven in writing by zegular mail, by depositing
the same in a post office or letter box in a postpaid, sealed
envelope, addressed as appears on the books of the Association.
Section 2. Service of Notice - Waiver: Whenever any notice
is r~quirad to lac •:ven under tl~~ provisions ~~f these 13y-Lacas, a .
rc waiver thereof, in writing, signed by the person(s) entitled to
such netice, whe*n~.~r 5et;ore-or after the tune stated herein, shall
be deemed the equivalent of such notice.
