AMENDMENT TO THE LIMITED PARTNERSHIP AGREEMENT
OF
HOTCHINSON ISLAND LIMITED PARTNERSHIP
Pursuant to Florida Statutes X620.25(1) and 5620.02(1)(a)
The undersigned hereby amend the Limited Partnership
Agreement of Hutchinson Island Limited Partnership filed on
August 31, 1972 and for that purpose made and signed the
following amendments:

1. Paragraph 17 is hereby amended to read as ~

17. Assignability of Partnership Interests
A. The General Partner, Gulf Oil
Realty Company, a Delaware corporation,
formerly known as Gulf Oil Real Estate ~
Development Company, a Delaware corporation,
has the right to assign its General
Partnership interest with the written .

B. The Limited Partner, Harrison Land
Development, Inc., a Florida corporation,
has the right to assign its Limited

2. Guif Oil Realty Company, a Delaware corporation,
formerly known as Gulf Oil Real Estate Development }
Company, hereby assigns its General Partnership
interest in Hutchinson Island Limited Partnership
to Hutchinson Island Limited, Inc., a Delaware
corporation.
~ 3. Harrison. Land Development, Inc., a Florida
corporation, hereby assigns its Limited
Partnership interest in Hutchinson Island
Limited Partnership to Hutchinson Island
Limited, Inc., a Delaware corporation.
