FOR VALUE RECEIVED, the undersigned, Hutchinson Zsland
Limited, Inc., a Delaware corporation (herein called the
"Company"), promises to pay to Donner Canadian Foundation
or order, in United States dollars the principal amount of this

and to pay interest (computed on the basis of a 360-day year
of twelve 30-day months) from the date hereof on the unpaid

this Note shill be due and payable-in semi-annual install-
ments on June 30 and December 31 of each year, with the
first such installment of interest becoming due and payable
on December 31, 1980.
