CERTIFICATE ESTABLISHING CONVERSION OF FREEDOI~i FEDERAL SAVINGS
AND LOAN ASSOCIATION, A UNITED STATES CORPORATION, TO FR'BEDQ!!
SAVINGS AND LOAN ASSOCIATION. A FLORIDA CORPORATION.
I, Jo F. Maters, as Corporate Secretary of Freedoa
Savings and Loan Association, a corporation organized and
existing under the laws of the State of Florida, and having
its principal place of business at 500 Franklin Street, ?ampa,
Florida, 33602, hereby certify as follows:
1. On May 20, 1980, Freedom Federal Savings and Loan Associ-
ation (fonaerly First Federal Savings and Loan Association
of Tampa), a federally chartered mutual savings and loan
association organized under the laws of the ilnited States
of America, was converted to Freedom Savings and Loan
Association, a state chartered capital stock savings and
loan association organized and existing under the lays of
the State of Florida.
2. On May 20, 1980, the Articles of Incorporation of Freedom
Savings and Loan Association were approved by the Depart-
ment of Banking and Finance, State of Florida, were filed
with and approved by the Department of State, State of
Florida, and Charter Number 670643 was assigned to said
corporation.
3. Article X of the Articles of Incorporation of Freedoa
Savings and Loan Association, relating to Conversion,
provides as follows:
"The creation of this corporation shall result from
the conversion of a federal mutual association,
Freedom Federal Savings and Loan Association, to a
capital stock association. Freedom Federal Savings
and Loan Association shall cease to be a federal
mutual association at 10 a.m. on May 20, 1980, and
simultaneously shall become Freedom Savings and
Loan Association, a savings and loan association
organized under the laws of the State of Florida.'
4. On May 20, ?980, Honorable Gerald~A. Lewis, as Comptroller
of the State of Florida and as Coadnissioner of Banking
I thereof, issued to Freedom Savings and Loan Association
~ Certificate Number 132, authorizing said corporation to
transact a general savings and loan business. A copy of
said Certificate is attached hereto_ and is made a part
a hereof by reference.
~ I am the duly elected, qualified and acting Corporate
Secretary of Freedom Savings and Loan Association.
