13. Modification and Waiver. A modification or waiver of
any of the provisions of this Agreement shall be effective only
if made in writing and executed with the same formality as this
Agreement. The failure of either party to insist upon strict
performance of any of the provisions of this Agreement shall not
be construed as a waiver of any subsequent default of the same ur
similar nature.
14. Situs. ,This Agreement shall be construed and governed
in accordance with the laws cf the State of Colorado.
15. partial Invalidity. If any provisions of this Agreer,~en:
is held to be invalid or unenforEeable, all other provisions
shall nevertheless continue in full force and effect.
16. Address of Parties. Each party shall at all times keep
the other informed of his or her place of residence and shall
promptly notify the other of any change, giving the address o
the new place of residence.
17. Attorney's Fees. It is agreed that if any action is

the enforcement or interpretation or construction of this Agrec::.~~:`
yr any document relating thereto, the prevailing party in such
action shall be entitled to reasonable attorney's fees as well as
all costs incurred in•the prosecution or defense of such action.
18. Binding Effect. Except as otherwise stated herein, a'~
provisions of this Agreement shall 5e binding upon the •res~ect~v~
heirs, next-of-kin, executors and administrators of the parties.
