FIFTH: My executrix, including any suc-
_ cessor when acting, shall have, in addition to those con-
ferred by law and other provisions of this, my Will, the
following powers, authority and discretion over the assets
of my estate:
To retain any and all property in
my estate in the same form as such property existed at the
time of my death; to invest and reinvest the assets of my
estate, or any part thereof, in any stocks, whether common

or preferred, bonds, obligations or other property, real or
personal, which she may deem. advisable, without restriction
to legal investments and without being under any duty to
diversify investments; to participate in, consent to or
oppose any reorganization, merger, consolidation or read-
justment of the finances of any corporation, company or
association and to charge the expense thereof, if any, to my
~i estate; to sell, exchange, mortgage or lease for any term or
otherwise dispose of any property constituting the assets of
my estate, upon cash or credit and upon such terms and con-

I ditions as to her seem proper; to vote all stocks and to _
grant any proxies therefor; to register property held by her
in her own name or in the name of a nominee or nominees, or
1 to hold the same in bearer form without disclosure of the
trust; to make distribution of the assets of the estate in kind

or in cash, or partly in each, in her discretion; to institute
or defend any action or proceeding on behalf of or against my
estate, and to compromise, settle, arbitrate or release any
claim in favor of or against the estate, upon such terms and
~ conditions as she in her discretion deems best. -
