AFFIDAVIT

Before me, the undersigned officer duly authorized to administer I
oaths in the State and County aforesaid, personally came and appeared
Michael P. Ziter, who, after being first duly cautioned and sworn, deposes ~
and says: {
1. That Affiant is an attorney duly licensed to practice law in the State '
of Massachusetts, and has been so engaged for a period of ten (10) years. ~
2. That Affiant has reviewed that certain Declaration of Trust of
LLOYD M. HOOVER ASSOCIATES dated the 30th day of December, 1966, ~
a copy of which has been recorded in Official Records Book 171, Page 388,
et. seq of the public records of St. Lucie County, Florida, and finds that said
document established a Massachusetts Business Trust under Chapter 182
of the General Laws of Massachusetts. Urrier said Chapter 182, a Massachusetts
. Business Trust creates a separate legal entity capable of receiving title to real
property in the name of the Trust, viz.: LLOYD M. HOOVER ASSOCIATES.
! That in this regard the said Lloyd M. Hoover Associates has the power and
ability under the laws of the jurisdiction in which it was created to own real. -
€ property.
3. Further Affiant saith naught.
