from January 1 through December 31. It is agreed that during
the first special calendar year this agreement shall apply to
all of the citrus crop on the Owner's grove commonly known as
the 1979-80 crap whether part of it has been ,picked and marketed
or not. The proceeds of any part picked and marketed prior~to
the effective date of this agreement shall become proceeds for
this special calendar year.
- 11. (a) Except as permitted by the provisions of
subparagraph (b) of this paragraph 11, the Owner shall not, during
the term hereof, sell, transfer. assign or devise his grove -
(which, for-the purposes of this paragraph 11, shall be deemed -
to include his interest in the Common Property), or any portion
thereof, or any interest therein, witaout the prior consent of
Operator and all the owners of al.l other groves in the Grove
unless he shall first have given sixty (60) days' notice mailed
to the Operator of his intention to do so. The notice must
.name the proposed purchase or transferee, specify the number
of acres (specifically identified with a legal description) to
be transferred or conveyed, and state the price and terms of
payment, Promptly upon receipt of such notice, Operator shall
notify the owners of all other groves in the Grove of the con-
templated transfer and said owners shall have the option to pur-
chase said grove at the price and upon.the-terms of any such bona
' fide offer. Within fifteen (15) days after the mailing of such

~ notice, any other person owning a grove in the Grove who desires
to purchase any part of all of said grove shall deliver to Operator
a written election purchase said grove or a specified part thereof.
If the total of the acres specified in such elections exceed the num-
-ber of acres to be transferred, each elector shall have a priority,
up to the number of acres specified in his notice of election -
s to such proportion of the number of acres to be transferred as

the total number of acres which he holds in the Grove bears to
