accompanied by a statement of expenses which shall be due and
payable within ten (10) days from the date thereof. Operator,
in its sole discretion,.is entitled to charge ten percent (10%)
interest per annum on any unpaid invoice ten (10) days after
date. If such invoice is not paid within thirty (30) days,
then the Operator shall have the right to discontinue all main-
tenance on the Owner's grove and not resume until all outstanding
charges are current. In this connection, it is expressly under-
stood that any .damage to Owner's trees or fruit due to such
discontinuance of maintenance is solely the responsibility of
the Owner and the Operator shall not in any wise or manner be
held liable.
(b} Operator shall not use any funds of the
Owner for the payment of any otfier person's costs, fees or -
expenses. The Owner shall not lien or encumber his interest

in any mobile equipment except to the extent necessary for
the purchase thereof.
9. The Owner will control the harvesting, marketing
and sale of the citrus fruit produced on his grove. The
Operator will cooperate with the Owner in the harvesting,
' marketing and sale of the citrus fruit produced from the
.Owner's grove by keeping separate records on harvesting,
marketing and sale.

10. Operator shall receive, as its compensation for
the management and operation of the Owner's grove (and of the
~ Common Property):
(a) The sum of 61.00 per gross acre per month
and -

(b) A special year is establised for a period
- of time beginning with September 17, 1979, which shall extend _
