A. All of the terws and provisions of this agreement
.shall extend to and be binding upon the parties hereto, their
respective successors in title, transferees, assigns, heirs and
representatives and shall constitute covenants running with the '
land.
8. The Operator ¦ay not assign this agreement unless the
assignment is made to a person or corporation having an estab-
lished reputation i~n the Indian River citrus distinct as a
cowpetent and capable operator and ¦anaaer of citrus groves rho
roust be approved by the persons owning a majority of the acres
cowprising the Grove. Approval rill not be rithheld by Orner
for any reason except a good faith belief that the proposed
assignee does not Beet the qualifications. ~ _
C. All of-the terws and provisions of this agreement
are hereby expressly wade subject to all federal and state tars
and to all valid rules and regulations and orders of any duly
constituted authority .having jurisdiction in the premises.
Operator shall prepare and file all such applications, notices,
reports and other inforwation concerning the Orner's grove as
are required to be filed rith governpental authorities. Operator
shall act as the representative of the Orner in all hearings
and proceedings before adwinistrative bodies concerning the

k Grove, and all costs and expenses incurred by Operator in
participating in sueh hearings or proceedings shall be a proper

charge against the Orner; provided, however, that nothing
herein contained shaft prohibit the Orner from participating
in an such heaein or roceedings in his orn behalf and at

D_ All notices, reports and correspondence permitted
or required to be given to Orner or to Operator hereunder,
except as othenrise specifically provided herein, shall be given
in writing by lnited States Bail or by telegram, postage or
charges prepaid, addressed to Orner at the ac+dress listed under
the signature hereto 'f Orner, and to Operator, with a courtesy f
