For -value received, VENTURE OUT IN AMERICA, INC.,--
a corporation organized and existing under the laws of
Delaware, hereby sells, assigns and transfers unto THE OXFORD
FINANCE COMPANIES, INC. all of its right, title and interest,
in and to and under that certain Mortgage described and
listed in Exhibit "A" attached hereto and made a part hereof,
recorded in the records of St. Lucie County, Florida, as well
as to the land described therein and the indebtedness secured
thereby.
IN WITNESS WHEREOF, Venture Out In America has
caused this instrument to be executed in its corporate name,
its corporate seal to be affixed and attested, by authority
duly given on this day of , 1980.
