MEMORANDUM OF PARTNERSHIP
OF
C V PROPERTIES
• A General Partnership-Organized 33
Under the Laws of the State of Florida
WHEREAS, the undersigned "Partners" have this day
formed a general partnership under the laws of the State of
Florida, which partnership is known as C V Properties; and
WHEREAS, said Partnership was formed pursuant to the
terms and conditions of a Partnership Agreement of even
date herewith, which agreement contains certain rights,
restrictions and conditions on. the Partners, their Partnership
interests and the Partnership property which are more restrictive
than otherwise generally set forth in the provisions of
the Uniforan Partnership Act of the State of Florida, Chapter
620, Florida Statutes.
NOW THEREFORE, KNOW ALL MEN BY THESE PRESENTS, .that
the following is a summarization of certain portions of the
Partnership Agreement of C V Properties creating said
Partnership, which agreement is on file at the office of said
Partnership at 124 N. 2nd Street, Ft. Pierce, Florida, to wit:
1. The partnership is to have perpetual existence

until dissolved by the withdrawal, death, retirement, expulsion,

disability or bankruptcy of any Partner or otherwise terminated
i
j by law or mutual agreement of all the Partners.
2. No Partner shall, without the written consent of
i
all the Partners, do any of the following:
(1) Assign, mortgage, pledge, encumber,
charge or collaterize any of the Partnership property or
~ place any of the Partnership property in trust for creditors
e
or on an Assignee's promise to pay the debts of the Partnership;
(2) Dispose of the good will of the business;
(3) Submit a Partnership claim or liability to
arbitration or reference;
(4) Confess a judgment against the Partnership;
(5) Do any acts which would make it impossible
to carry on the ordinary business of the Partnership;
