partrj of the second part, the receipt of ichich is hereby. acknowledged, hats granted,
bargained, sold, tracnsferred and delivered unto the said party of the second part,
forever, the following goods and chattels. to-wit:
Ray's Continental Restaurant, all furnishings, equipment,
inventory, including kitchen equipment, restaurant equipment,
liquor license and leasehold interest, and any other items
so used in said restaurant. Inventory to be furnished by -
separate documents.

To Have and to Hold the Saute unto the said party of the second part
forever. .
11nd said party of the ~lrst part does covenant to and with the said party of the
second part that he is the lawful owner of the said goods and chattels; that they are
free from all incumbrancea; that he has good right and lawful aut.'~ority to sett the
-same as aforesaid, and that he will warrant and defend the sate of the said property,
goods and chattels hereby matte, unto the said party of the second pt~rt, against
-the lawful claims and demands of all persona whomsoever. .
Provided, However, that this bill of sale is made upon this express condition
and with this proviso, to-wit: that the party of the second part, shall on or before
~ transfer of liquor license w. ,pay to the Said party of
the first part, the sum of $14,000.00 (fourteen thousand and no/100) Dollar8
with no interest, a8 evtdenced by a certain promissory note for said sum,
of even date herewith, -made by the party of the second part to the party of the first
part according to the true intent and meaning thereof; then and in that event this bill
